TERMS OF SERVICE

By participating in yoga classes that are provided by Lily Dwyer Begg Yoga LLC (“Sponsor”) and taught by Lily Dwyer Begg (“Instructor”), the participant (“Participant”) accepts the following Terms of Service.

1. Sponsor Responsibility. Sponsor shall provide yoga instruction to the Participant using the services of the Instructor (“Yoga Instruction”).

2. Participant Responsibility. In exchange for the Yoga Instruction, the Participant shall pay the Sponsor any fee due for the Yoga Instruction and comply with these Terms of Service.

3. Assumption of Personal Injury Risk. Participant acknowledges and agrees that the practice of yoga involves physical movements and stretches that can push the Participant to his or her physical limits of prior training, flexibility, strength and endurance, that Participant should never exceed his or her personal level of comfort when practicing yoga, that exceeding personal limitations may result in personal injury, and that Participant assumes the risk of personal injury from practicing Yoga and waives and releases all claims against, and covenants not to sue, the Sponsor and Instructor for any personal injury relating to participation in the yoga instruction.

4. Intellectual Property. Online Yoga Instruction, YouTube videos and other audio, visual, electronic, written or recorded materials that the Sponsor provides in connection with the Yoga Instruction are the intellectual property of the Sponsor, and Participant shall not copy, reproduce, sell or share them without the express written permission of the Sponsor, which may be withheld in the Sponsor’s sole discretion.

5. Dispute Resolution. Any claim or controversy arising out of or relating to the Yoga Instruction or these Terms of Service that cannot be resolved informally within 30 days shall be arbitrated in Baltimore County, Maryland, by a single and neutral arbitrator, who may be selected by mutual agreement of the parties or, failing agreement, by the Maryland court in accordance with the Maryland Uniform Arbitration Act, codified at Md. Code Ann., Cts. & Jud. Proc. §§ 3-201 through 3-234, except that the Sponsor may seek injunctive relief without commencing an arbitration from any court for the Participant’s violation of its intellectual property rights.

6. Miscellaneous Provisions. These Terms of Service (i) represent the entire agreement between the parties with respect to the subject matter addressed, (ii) supersede any prior or contemporaneous understandings, (iii) may only be amended in a written instrument signed by all parties, and (iv) shall be governed by the laws of the State of Maryland.

PARTICIPANT SHALL NOT PARTICIPATE IN THE YOGA INSTRUCTION WITHOUT FIRST ACCEPTING THESE TERMS OF SERVICE.
